Limited company incorporation

This package will offer you peace of mind with your new company compliance managed by our professional team of company secretaries. The package includes:
  • formation of a private limited company
  • legal support during the registration process
  • registered office address in central London
  • first directors meeting
  • company compliance service for the first 13 months from the date of the incorporation.
Company formation
To register your business as a private company limited by shares London Registrars will
  • check if the name you have chosen for your company is available and in line with the rules on company names
  • as required by law, carry out the ID checks to comply with the Anti Money Laundering obligations for each director and shareholder of 25% or more shares
  • prepare company registration forms (Articles of Association and the Statement of Capital and Initial Shareholdings)
  • file the documents at Companies House
  • pay the Companies House registration fee
  • provide legal advice on the issues related to your company formation
  • email you the incorporation documents.
Registered office address
We offer you our registered office address in Central London where official documents and correspondence from Companies House and other government organisations such as HMRC and the Court Service can be served. This address must be shown on all your stationery, invoices as well as your website.

First directors meeting
Once your company’s incorporation has been completed, you need to confirm the appointments of the directors and the company secretary (if required), and to pass a resolution to authorise the opening of a bank account and the issuing of the share certificates. We will deal with this for you by preparing a written resolution for signature by all directors.

Company compliance service
Every company must comply with the Companies Act and submit annual returns within specified time limits. We are experts in guiding companies through the legal maze. We will provide you with peace of mind as we will take care of the statutory registers and keep them up to date.

This service includes:
  • registered office address in Central London (or SAIL address if applicable) †
  • directors' service addresses 
  • maintaining the company's statutory registers
  • preparing and filing the company’s Annual Return 
  • on a change of ownership: dealing with the stock transfer certificate, cancelling the old share certificate and issuing the new share certificate *
  • filing any changes in the statutory registers with Companies House *
  • Taking custody of the Minute Book
  • telephone support in respect of the above during office hours.  
* Up to 5 changes per annum. Additional transactions charged at £25 plus VAT each.

This great value package costs only £399 plus VAT for the first 13 months. The Annual Return filing fee payable to Companies House and Anti Money Laundering checks are not included in the price. Currently, the Companies House fees are £13 for online filing. The cost of the ID checks is £6 plus VAT per person.

If you wish to continue our basic statutory compliance and registered office services for subsequent years, the current fee is £299 plus VAT per annum. .
